Welcome to KRIT.AI ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you," or "your"), and KRIT.AI, concerning your access to and use of our website located at kritai.com (the "Site"), as well as our AI automation systems, AI receptionist deployments, customer chatbots, website development services, and related technical workflows (collectively, the "Services").
By accessing or using our Services, purchasing a setup package, or subscribing to our ongoing solutions, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
1. Eligibility & Scope of Services
A. Eligibility
The Services are intended strictly for commercial and business entities capable of forming legally binding contracts. By using the Services, you represent and warrant that you are at least 18 years of age and possess the legal authority to bind your organization. We do not provide Services to individuals or entities located in countries or territories subject to applicable international sanctions or trade embargoes.
B. Our Deliverables
KRIT.AI provides custom design, deployment, and ongoing management of AI-driven commercial assets, including:
AI Receptionists: Automated voice and conversational response systems integrated into telephone and messaging lines.
Customer Chatbots: Custom conversational agents deployed across websites, messaging platforms, and customer communication channels.
Website Design & Funnels: Digital landing pages, corporate websites, and lead capture architectures.
Workflow Automations: System integrations connecting CRMs, databases, messaging gateways, and third-party APIs.
2. Fees, Subscriptions & Strict No-Refund Policy
A. Fee Structure
Access to and implementation of our Services involve two distinct payment components:
One-Time Setup & Build Fees: Fixed upfront fees covering discovery, design, development, API configuration, system prompt calibration, and initial integration.
Monthly Recurring Subscriptions: Ongoing maintenance, server allocations, API routing, technical support, and operational uptime charges billed on a 30-day recurring basis.
B. Payment Terms & Billing Authorization
All fees are processed via our authorized payment processor, Stripe. By purchasing our Services or activating a subscription, you authorize KRIT.AI (via Stripe) to charge your nominated payment method on recurring billing cycles until formally canceled in accordance with these Terms.
C. Strict No-Refund Policy
Due to the significant allocation of engineering resources, developer time, custom architectural setup, and incurred third-party API/server computational costs:
All payments (both one-time setup fees and recurring subscription charges) are strictly non-refundable.
No prorated refunds, credits, or fee adjustments will be issued for partial billing cycles, unused services, or early termination initiated by the Client.
D. Late Payment & Account Suspension
Invoices and subscription renewals must be paid on or before their scheduled due date. If a payment attempt fails or remains outstanding:
We reserve the right to suspend or pause all active automations, website hosting, chatbot endpoints, and AI receptionist integrations.
Re-activation of suspended services may require payment of all outstanding arrears and an administrative reactivation fee.
3. Intellectual Property Rights & Ownership
A. Client Intellectual Property & Inputs
The Client retains full, exclusive ownership of all pre-existing intellectual property, trademarks, logos, business records, customer lists, and proprietary materials ("Client Content") provided to KRIT.AI for the configuration of the Services. The Client grants KRIT.AI a non-exclusive, worldwide, royalty-free license to use, host, format, and display Client Content solely to develop, test, and maintain the Services.
B. KRIT.AI Pre-Existing & Core IP
KRIT.AI retains exclusive ownership, title, and all intellectual property rights in and to its underlying code libraries, pre-built workflow templates, modular logic schemas, proprietary prompt structures, architectural blueprints, and general system frameworks ("Agency Frameworks"). Nothing in these Terms transfers ownership of Agency Frameworks to the Client.
C. Ownership of Final Deliverables & AI Outputs
Upon full and final payment of all applicable fees:
KRIT.AI assigns to the Client all worldwide right, title, and interest in the bespoke customer-facing deliverables (e.g., customized front-end website designs, designated chatbot dialogues, and specific graphic assets created uniquely for the Client).
AI Output Scope: As between the parties, the Client owns the specific outputs generated for the Client via configured AI workflows. However, the Client acknowledges that artificial intelligence completions, raw synthetic responses, and algorithmic outputs may not be eligible for exclusive copyright protection under prevailing intellectual property statutes worldwide.
4. AI-Specific Disclaimers, Verification & Fair Use
A. AI Hallucination & Output Verification Disclaimer
Artificial intelligence systems, large language models (LLMs), and automated speech recognition engines are generative and probabilistic in nature.
Client Duty to Review: The Client acknowledges that AI receptionists and chatbots may occasionally generate inaccurate, incomplete, misleading, non-factual, or unanticipated responses ("Hallucinations").
Verification Obligation: The Client is solely responsible for reviewing, monitoring, configuring, and verifying all automated scripts, knowledge base files, conversational flows, and customer communications.
Disclaimer: KRIT.AI accepts zero liability for any operational errors, lost business, customer miscommunications, inaccurate scheduling, or reputational damage resulting from automated AI outputs or system hallucinations.
B. Acceptable Use of AI Systems
You agree not to use the Services, or permit end users to use our AI receptionists, chatbots, and websites, to:
Generate, transmit, or facilitate unsolicited commercial messages (spam), unauthorized telemarketing calls, or abusive robo-dialing.
Impersonate any human individual without disclosure or engage in deceptive, fraudulent, or manipulative practices.
Process, distribute, or solicit illegal, defamatory, harassing, sexually explicit, hateful, or infringing content.
Circumvent, reverse-engineer, exploit, or bypass safety filters and usage quotas established by underlying foundation model providers (such as OpenAI or xAI).
5. Third-Party Platforms & Service Dependencies
Our Services operate in conjunction with external infrastructure and third-party software providers (including OpenAI, xAI, GoHighLevel, Airtable, Cloudflare, Google Cloud, AWS, and Stripe). The Client acknowledges and agrees that:
KRIT.AI does not own, control, or operate these third-party platforms.
KRIT.AI is not responsible for any downtime, outages, service interruptions, latency, rate-limiting, pricing changes, or policy adjustments enforced by these third-party vendors.
The Services are provided on an "as-is" and "as-available" basis without guarantees of continuous, uninterrupted, or error-free uptime.
6. Client Responsibilities & Data Lawfulness
The Client agrees to:
Ensure that all business records, customer contact numbers, and lead data supplied to KRIT.AI have been collected lawfully in strict accordance with applicable telecommunications, privacy, and consent regulations (e.g., obtaining express written consent for automated phone calls or SMS messages).
Maintain the confidentiality of any access credentials, API keys, and dashboard logins issued for administrative management.
Notify KRIT.AI immediately of any unauthorized access or security breach involving the configured Services.
7. Company Rights: Suspension, Modification & Termination
A. Suspension & Immediate Termination by KRIT.AI
KRIT.AI reserves the right to suspend or terminate your access to the Services immediately, without prior notice or refund, if:
You fail to pay any fees when due.
You breach any provision of these Terms or engage in conduct that violates applicable law.
Your use of our systems threatens the operational stability, reputation, or security of KRIT.AI or its infrastructure partners.
B. Termination by Client
The Client may cancel a recurring monthly subscription at any time by providing written notice via email to [email protected] at least seven (7) business days prior to the next billing cycle. Cancellation will take effect at the conclusion of the current, fully paid billing period.
C. Effect of Termination
Upon termination:
All active AI receptionists, chatbot instances, and managed hosting environments will be decommissioned.
Each party will promptly cease using the other party’s proprietary materials and trademarks.
8. Warranty Disclaimers
To the maximum extent permitted by applicable law, the Services are provided "AS IS" and "AS AVAILABLE."KRIT.AI expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated content, and system reliability. We do not warrant that our AI receptionists, websites, or chatbots will generate specific conversion rates, sales volumes, or business outcomes.
9. Modifications to These Terms
We reserve the right to amend, update, or revise these Terms at any time to reflect operational, technological, or legal developments. When changes are made, the "Last Updated" date at the top of these Terms will be revised accordingly. Your continued use of our Site and Services after the posting of revised Terms constitutes your unconditional acceptance of the changes.
